Independent Travel Advisor Agreement

1. Independent Contractor Relationship

Advisor is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship. Advisor controls the manner and means of Advisor's own work, sets Advisor's own schedule, and is not entitled to employee benefits of any kind.

2. Operating Under the Majestic Escapes Name

Advisor operates as an independent contractor under the Majestic Escapes name. Advisor is not required to form a corporation, LLC, or other separate business entity, and may not present a separate business entity or brand in travel-advisor activity conducted under Majestic. Advisor shall provide and keep current: legal name, a completed IRS Form W-9, current contact information and address, and any licenses or registrations required of Advisor personally by applicable law, including seller-of-travel registration where required.

3. Academy Completion Required Before Activation

Successful completion of Majestic Advisor Academy is required before Advisor is activated as a Majestic Escapes travel advisor. Activation is further subject to all onboarding requirements described in this Agreement.

4. TPI / Host Registration

Advisor must be registered and activated as an Associate Advisor with the travel professional intermediary (TPI) or host structure designated by Majestic before conducting any travel-advisor activity through Majestic or the TPI, including quoting, booking, or servicing travel.

5. No Sub-Advisors

Advisor may not appoint, sponsor, subcontract to, or supervise sub-advisors, assistants acting as advisors, or downline participants under this Agreement.

6. Public Branding While Affiliated

While affiliated with Majestic, Advisor shall present publicly as “Majestic Escapes with [Advisor Name].” Advisor may not present as an independent, separately branded agency for travel-advisor activity conducted under Majestic or the TPI.

7. Exclusivity

While affiliated with Majestic, Advisor shall conduct travel-advisor activity exclusively through Majestic and its authorized host structure, and shall not affiliate with, book through, or sell travel under another host agency, agency, or consortium, unless Advisor has obtained prior written authorization from Majestic.

8. Commission Tiers

Commission is shared between Advisor and Majestic according to the following tiers, based on cumulative qualifying commission. For this purpose, qualifying commission means cumulative cleared supplier commission actually received by Majestic or the host after applicable supplier, host, processing, refund, recall, and chargeback adjustments; gross trip sales, projected commission, booked-but-unpaid commission, and uncleared amounts do not count. Tier increases apply prospectively only, to qualifying commission earned after the threshold is reached; they are never applied retroactively. The 100/0 tier refers only to the commission split: the $59 monthly membership fee and any independently applicable chargebacks, recalls, offsets, and other agreed fees remain in effect.

• 75% Advisor / 25% Majestic — until $5,000 in qualifying earned commission
• 80% Advisor / 20% Majestic — after $5,000 in qualifying earned commission
• 85% Advisor / 15% Majestic — after $20,000 in qualifying earned commission
• 100% Advisor / 0% Majestic — after $75,000 in qualifying earned commission

9. Commission Base

The commission base is cleared commission actually received, after applicable host, supplier, processing, and chargeback adjustments. Commission is not calculated on gross trip price, on estimated commission, or on amounts that have not cleared.

10. Tier Retention and Reset

A higher tier reached by Advisor is retained year to year for so long as qualifying earned commission continues. If Advisor records no qualifying earned commission for a full twelve (12) consecutive months, the tier resets to 75/25 going forward.

11. Commission Payment Timing

Commissions are paid to Advisor after the TPI and/or Majestic receives and clears the corresponding commission from the supplier. Supplier payment timing is outside Majestic's control and is not guaranteed. Majestic does not advance, front, or guarantee commission.

12. Chargebacks, Recalls, and Adjustments

Advisor is responsible for chargebacks, commission recalls, debit memos, adjustments, and refunds arising from Advisor's bookings or actions. Such amounts may be offset against current or future commission payable to Advisor, and any remaining balance is payable by Advisor. These obligations survive termination of this Agreement.

13. Commission Flow

All supplier commission relating to Advisor's bookings must flow through the authorized host structure. Advisor may not direct, request, or accept supplier commission payable directly to Advisor or to any other party.

14. Client Payments

Client payments for travel must be made using authorized payment procedures — directly to the supplier or through the authorized host structure. Client travel payments may not be deposited into Advisor's personal or business bank account unless specifically authorized by applicable policy and law.

15. Independent Planning and Service Fees

Advisor may charge Advisor's own planning, consultation, or service fees, subject to applicable law and Majestic and host policies. Where Advisor charges such fees, Advisor is responsible for maintaining Advisor's own errors and omissions (E&O) coverage appropriate to that activity, using Advisor's own compliant client agreement, and for the payment processing, taxes, and refund handling associated with those fees.

16. Client Ownership

Clients generated by Advisor remain Advisor's clients, subject to transfer, privacy, supplier, TPI, and legal requirements. Clients or leads provided by Majestic remain clients of Majestic.

17. Commissions After Termination

Eligible commissions relating to bookings made before termination remain payable in accordance with this Agreement, subject to clearance and to any offsets. Advisor's chargeback and adjustment obligations survive termination.

18. Business Expenses and Taxes

Advisor is responsible for Advisor's own business expenses and for all federal, state, and local taxes on amounts paid under this Agreement. No taxes are withheld by Majestic. Majestic will issue tax documentation as required by law.

19. Professional Conduct and Confidentiality

Advisor shall conduct business professionally and honestly, protect client information, safeguard system credentials and not share them, and comply with supplier, host, and Majestic policies. Advisor has no authority to bind Majestic or the TPI, to sign contracts on their behalf, or to make representations or commitments on their behalf.

20. Insurance

Advisor shall maintain the insurance coverage required by Majestic and by applicable host policy. Advisor's independent fee-based activities require Advisor's own appropriate errors and omissions or professional liability coverage.

21. Branding and Social Media

Advisor shall follow Majestic branding, marketing, and social media rules, including required use of the “Majestic Escapes with [Advisor Name]” presentation, accurate representation of Advisor's role, no misleading claims about pricing, availability, or supplier relationships, and compliance with advertising and disclosure law.

22. Intellectual Property

All Majestic marks, logos, content, templates, systems, and materials remain the property of Majestic. Advisor's license to use them is limited to the period of affiliation and to authorized purposes, and ends on termination.

23. Termination

Either party may terminate this Agreement for convenience on thirty (30) days' written notice. Majestic may suspend or terminate immediately for serious misconduct, including fraud, misappropriation of client funds, material policy violation, or conduct that endangers clients, suppliers, or the business.

On termination, Advisor's access to Majestic and host systems ends, Advisor shall cease use of Majestic branding, and pending bookings are handled in accordance with Majestic and supplier policy. Commission and chargeback provisions apply as stated above.

24. Indemnification

Advisor shall indemnify and hold harmless Majestic, its members, officers, employees, and affiliates from claims, damages, losses, and expenses arising from Advisor's acts or omissions, Advisor's independent fee activities, Advisor's business operations, or Advisor's breach of this Agreement.

25. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles, and disputes shall be resolved in the state or federal courts located in Florida.

26. Severability

If any provision is held unenforceable, it shall be modified to the minimum extent necessary or severed, and the remainder of this Agreement shall remain in effect.

27. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding Advisor's affiliation with Majestic and supersedes prior discussions and understandings. It may be amended only in writing.

28. Electronic Signature

The parties agree that electronic signatures, typed signatures, and electronic records are valid and enforceable and satisfy any requirement that this Agreement be in writing and signed.
